By creating an account, accessing Albumolic, purchasing an album unlock, subscribing to a paid feature, uploading content, joining an album community, purchasing Album Royalty Shares, receiving payouts, or otherwise using Albumolic, you agree to these Terms.
If you do not agree to these Terms, do not use Albumolic.
1. Important Legal Notice
Albumolic is a music platform, album commerce platform, artist monetization platform, fan community platform, and royalty administration platform.
Albumolic is not a stock exchange, securities broker, dealer, investment adviser, crowdfunding portal, investment marketplace, bank, trust company, deposit-taking institution, public securities market, alternative trading system, financial adviser, or regulated investment platform.
Any royalty participation feature offered through Albumolic is intended to be a limited contractual revenue-participation arrangement connected to a specific album's eligible platform revenue. It is not ownership in Albumolic, not stock in any company, not ownership of the artist's company, not a debt instrument, not a bond, not a fund interest, not a deposit, not a loan, and not a guaranteed investment product.
Although Albumolic may use the phrase "Album Royalty Shares," Album Royalty Shares are not corporate shares, not public company shares, not securities issued by Albumolic, not securities issued by the artist, and not ownership interests in any master recording or publishing rights.
Purchasing Album Royalty Shares does not guarantee profit, repayment, appreciation, resale value, liquidity, minimum payout, monthly payout amount, or recovery of the purchase amount.
You may receive less than you paid. You may receive nothing.

6. Album Unlock Purchases
When you purchase an Album Unlock, you receive a limited, personal, revocable, non-exclusive, non-transferable license to access and stream the applicable album through Albumolic for personal, non-commercial use.
An Album Unlock does not give you ownership of:
Master recordings
Publishing rights
Copyrights
Artwork
Artist name or likeness
Trademarks
Stems
Files
Lyrics
Album metadata
Any intellectual property connected to the album
Albumolic may remove, restrict, disable, or modify access to content where required by law, rights disputes, takedown requests, fraud concerns, artist removal, payment failure, platform termination, licensing issues, or policy enforcement.
Unless otherwise required by law or expressly stated by Albumolic, Album Unlock purchases are final and non-refundable.
7. Artist Ownership of Masters
Artists retain ownership of their masters unless separately agreed in a written agreement outside these Terms.
By uploading or distributing an album through Albumolic, the artist grants Albumolic a worldwide, platform-exclusive, royalty-bearing, sublicensable, transferable license to host, reproduce, encode, stream, display, promote, distribute, sell album unlocks, process payments, administer fan communities, calculate revenue, administer royalty share features, enforce rights, and otherwise operate the album within the Albumolic ecosystem.
The artist represents and warrants that the artist has all required rights, licenses, permissions, clearances, splits, approvals, and authority to upload, distribute, sell, monetize, and offer the album through Albumolic.
8. Album Exclusivity
Artists who sell albums on Albumolic agree that the album, as a complete album product, will be sold exclusively through Albumolic unless Albumolic approves otherwise in writing.
Albumolic may treat the album as a protected album asset, including its title, artwork, sequencing, album identity, metadata, release experience, and platform-specific presentation.
Unless otherwise stated in a separate written agreement, album exclusivity applies to the album as a complete product. It does not necessarily restrict individual songs, alternate versions, radio edits, instrumentals, acapellas, remixes, promotional clips, videos, or other derivative formats outside Albumolic.
Albumolic may establish and enforce album identity, song identity, version identity, DRM, metadata, takedown, and content-protection rules.
9. Artist Revenue and Payouts
Artists may earn revenue from album unlocks, subscriptions, superfan programs, bonus content, platform features, merchandise integrations, ticket integrations, live experiences, and other monetization tools if enabled.
Unless otherwise stated in a separate artist agreement, Albumolic may retain platform fees, transaction fees, administrative fees, payment processor fees, taxes, chargebacks, refunds, reserves, fraud losses, app-store fees, currency conversion fees, withholding amounts, royalty administration fees, and other deductions before calculating net artist payouts.
Artist payouts are generally calculated and made monthly, subject to minimum payout thresholds, payment processor schedules, identity verification, tax compliance, fraud review, rights disputes, chargebacks, reserves, account status, and applicable law.
Albumolic may delay, withhold, offset, reverse, or suspend payouts if there is suspected fraud, rights infringement, payment failure, chargeback exposure, tax non-compliance, regulatory risk, ownership dispute, legal order, sanctions issue, platform abuse, or violation of these Terms.
10. Platform Fees and Administrative Rights
Albumolic may charge platform fees, administrative fees, transaction fees, subscription fees, app-store fees, payment processing fees, currency conversion fees, royalty administration fees, resale fees, transfer fees, and other fees disclosed on the platform or in applicable agreements.
Albumolic may allocate platform revenue into separate platform-controlled accounts, including accounts used for platform operations, artist payout administration, royalty share administration, tax obligations, reserves, chargebacks, payment processor requirements, the Platform Administrative Reserve, and internal accounting.
Albumolic may modify fee structures with notice where required by law.
11. Album Royalty Shares
Some artists may choose to offer eligible users the opportunity to purchase limited contractual royalty participation rights in a specific album. These rights are called Album Royalty Shares.
Album Royalty Shares are not available for every album. Artists remain in control of whether to offer Album Royalty Shares and how much of an Album Royalty Share Pool to make available, subject to Albumolic approval, legal review, jurisdictional restrictions, and platform rules.
For albums that opt into royalty participation, 100% of the album's Album Royalty Share Pool equals 100,000 Album Royalty Shares.
The artist may choose to offer all, some, or none of those Album Royalty Shares to eligible users. Any shares not offered or sold may remain with the artist, rights holders, or other designated parties depending on the album's setup.
Purchasing Album Royalty Shares gives the purchaser only a limited contractual right to receive a defined share of eligible royalty participation revenue, if any, from that specific album on Albumolic.
Album Royalty Shares are not corporate shares, not public company shares, not securities issued by Albumolic, not securities issued by the artist, not ownership in Albumolic, not ownership in the artist's company, not ownership of the master recording, and not ownership of publishing rights.
Album Royalty Shares do not give the purchaser:
Ownership of Albumolic
Ownership of the artist's company
Ownership of the master recording
Ownership of publishing rights
Ownership of copyrights
Voting rights
Management rights
Approval rights
Creative control
Control over release timing
Control over pricing
Control over marketing
Control over distribution
Rights to direct artist activity
Rights to direct Albumolic activity
Rights to inspect confidential company records except as expressly provided by Albumolic
Rights to sue on behalf of Albumolic or the artist
Any guarantee of repayment, profit, return, appreciation, liquidity, or resale
12. No Guaranteed Financial Outcome
Album Royalty Shares involve risk.
Royalty share payouts depend on actual eligible album revenue, user demand, refunds, chargebacks, taxes, fees, fraud losses, rights claims, platform deductions, artist activity, market conditions, platform availability, regulatory restrictions, and other factors.
You may receive less than you paid. You may receive nothing. You may not recover your purchase amount.
Past artist performance, fanbase size, social media engagement, projected sales, promotional materials, demand estimates, pre-release activity, chart history, streaming history, or platform projections do not guarantee future payouts.
Albumolic does not guarantee:
Album sales
Artist success
Fan demand
Platform traffic
Monthly payout amounts
Break-even timing
Profit
Liquidity
Regulatory treatment
Content availability
Resale availability
Recovery of purchase amount
Album Royalty Shares do not have a quoted public market price and are not traded on a public securities exchange. However, the economic value of Album Royalty Shares may be limited, uncertain, illiquid, or zero depending on album performance, platform activity, fees, deductions, demand, rights status, legal restrictions, and resale availability.
13. No Investment Advice
Albumolic does not provide legal, tax, financial, securities, accounting, investment, or professional advice.
Any information displayed on Albumolic is for platform, music, artist, fan, royalty-share, and transactional purposes only.
You are responsible for evaluating whether any purchase, subscription, Album Unlock, or Album Royalty Share is appropriate for you.
You should consult your own legal, tax, financial, or professional advisers before purchasing Album Royalty Shares or participating in royalty-based features.
14. Final Sale; No Refunds for Album Royalty Shares
Album Royalty Share purchases are final and non-refundable, except where a refund is required by applicable law or expressly approved by Albumolic.
You are responsible for reviewing all purchase details before confirming a purchase.
Albumolic is not required to refund a purchase because:
You changed your mind
You made a mistaken purchase
You no longer support the artist
You disagree with the artist
You close your account
The album does not generate expected revenue
The shares do not produce payouts
The shares cannot be resold
The artist becomes controversial
You no longer wish to participate
You expected higher revenue
You misunderstood the risks after confirming the purchase
This does not limit any non-waivable rights you may have under applicable law.
15. Issued Royalty Shares and Artist Closure of Album Royalty Share Pool
Once Album Royalty Shares are purchased or otherwise validly issued, they become Issued Royalty Shares.
Artists may close, reduce, or terminate an Album Royalty Share offering only with respect to Unissued Royalty Shares, subject to Albumolic approval, platform rules, applicable law, payment processor requirements, and existing user rights.
Artists may not cancel, reclaim, retire, dilute, reduce, impair, or take back previously issued Album Royalty Shares merely because the artist closes the remaining pool, changes release strategy, changes pricing, removes unsold shares, exits the platform, or no longer wishes to offer additional shares.
Closing an Album Royalty Share offering does not affect Album Royalty Shares previously purchased by users. Previously purchased shares remain issued and outstanding unless validly resold, voluntarily abandoned, transferred into the Platform Administrative Reserve under these Terms, reversed due to fraud or chargeback, cancelled due to payment failure, subject to legal order, or otherwise cancelled pursuant to law or platform enforcement.
16. No Public Trading or Secondary Market
Albumolic does not operate a stock exchange, securities exchange, public trading market, alternative trading system, broker-dealer platform, investment marketplace, crypto exchange, token exchange, or public secondary market.
Album Royalty Shares are non-transferable except through Albumolic's controlled resale, transfer, or administrative process, if available.
You may not list, resell, trade, assign, pledge, tokenize, fractionalize, securitize, or otherwise transfer Album Royalty Shares outside Albumolic without Albumolic's prior written consent.
Any prohibited transfer is void.
17. Resale Listings and Exit Requests
A user who no longer wishes to hold Album Royalty Shares may submit a resale request through Albumolic, if resale functionality is available for the applicable album and jurisdiction.
A user does not need to close their Albumolic account in order to request resale of Album Royalty Shares.
A resale request authorizes Albumolic to list the user's Album Royalty Shares for purchase by another eligible user through Albumolic's controlled resale process.
A resale request is not a refund request, redemption request, repurchase request, or guarantee of liquidity.
Unless otherwise stated at the time of listing, a resale listing will remain active for 60 days.
If the Listed Royalty Shares are purchased by another eligible user during the resale period, the selling user will receive the applicable resale proceeds, less any disclosed administrative fees, transfer fees, payment processor fees, taxes, chargebacks, deductions, or other permitted amounts.
If the Album Royalty Shares do not sell during the 60-day resale period, the resale listing will expire automatically. Upon expiration, the user will remain the holder of the applicable Album Royalty Shares and will continue to be entitled to any eligible royalty share payouts associated with those shares, subject to these Terms.
Albumolic does not guarantee that any resale listing will result in a sale.
Albumolic is not required to repurchase Album Royalty Shares. Artists are not required to repurchase Album Royalty Shares. Other users are not required to purchase Album Royalty Shares.
Resale may be unavailable, delayed, restricted, suspended, limited, or prohibited based on legal, tax, compliance, jurisdictional, rights, payment, fraud-prevention, regulatory, or platform-risk considerations.
Users may relist expired Album Royalty Shares if resale functionality remains available and the user satisfies all applicable platform requirements.
18. Account Closure While Holding Album Royalty Shares
If a user requests to permanently close their Albumolic account while holding Album Royalty Shares, account closure will not automatically cancel, refund, redeem, repurchase, liquidate, or abandon those shares.
Before account closure is completed, Albumolic may notify the user that the user holds Album Royalty Shares and may provide available options, which may include:
Maintaining the shares in a limited payout-only status
Submitting the shares for resale through Albumolic's controlled resale process, if available
Voluntarily abandoning the shares through a separate confirmation process
If the user chooses Payout-Only Status, Albumolic may close or deactivate the user's public-facing account, including profile, community, chat, badge, feed, superfan, and social features, while maintaining a limited administrative record necessary to administer the user's Album Royalty Shares.
A payout-only record may include the user's legal name, email address, tax information, payout information, transaction history, royalty share records, royalty entitlement records, legal notices, identity verification records, and other information reasonably necessary for accounting, tax, fraud-prevention, payment processing, compliance, legal, dispute-resolution, and royalty administration purposes.
Users in Payout-Only Status will not have ordinary access to Albumolic's social, community, fan, superfan, or content features unless they reactivate or create a new account in accordance with Albumolic's policies.
However, users in Payout-Only Status may continue to receive eligible royalty share payouts associated with their Album Royalty Shares, subject to these Terms, payout thresholds, tax documentation, payment processor requirements, identity verification, legal holds, reserves, rights disputes, chargebacks, and applicable law.
If the user submits the shares for resale, the resale listing will remain active for the applicable resale period, unless removed earlier in accordance with these Terms. Unless otherwise disclosed, the resale period will be 60 days.
If the shares do not sell during the resale period, the resale listing will expire, and the user will remain the holder of the shares unless the user relists them, transfers them through an approved process, or voluntarily abandons them.
19. Voluntary Abandonment and Platform Administrative Reserve
If a user wishes to permanently give up Album Royalty Shares, the user may voluntarily abandon those shares through Albumolic's abandonment process, if available.
Voluntary abandonment is optional and must be separately confirmed by the user. If the user voluntarily abandons Album Royalty Shares, the user permanently gives up all future rights to royalty share payouts associated with those shares and will not receive any refund, repayment, compensation, credit, or replacement value.
Upon voluntary abandonment, the abandoned Album Royalty Shares may be transferred into the Platform Administrative Reserve. The Platform Administrative Reserve is a restricted platform-controlled reserve used to support the administration, protection, compliance, security, maintenance, and operation of Albumolic and its royalty share system.
Any royalty share payouts, proceeds, or economic amounts generated by abandoned Album Royalty Shares held in the Platform Administrative Reserve may be used by Albumolic only for legitimate platform administration purposes, including chargebacks, refunds, fraud prevention, payment processor reserves, tax compliance, accounting, identity verification, rights disputes, takedown enforcement, legal compliance, regulatory compliance, platform security, royalty administration, user support, platform maintenance, platform updates, payout administration, artist payout administration, data security, dispute handling, and other reasonable costs directly connected to operating, protecting, or administering Albumolic and its royalty share features.
Abandoned Album Royalty Shares transferred into the Platform Administrative Reserve will not automatically return to the artist, will not be treated as still owned by the abandoning user, and will not give the abandoning user any future right to payout, resale, recovery, reinstatement, credit, or compensation.
Amounts allocated to the Platform Administrative Reserve are intended for platform administration and compliance purposes. They are not intended to operate as discretionary founder distributions, executive bonuses, dividends, or unrelated personal compensation.
Albumolic may maintain internal accounting records for the Platform Administrative Reserve. Albumolic may use reasonable discretion to determine when Platform Administrative Reserve amounts are needed for platform administration, protection, compliance, security, maintenance, or royalty share operations.
Albumolic may cancel, reverse, suspend, retire, transfer into the Platform Administrative Reserve, or administratively hold Album Royalty Shares only where permitted under these Terms, including in cases of fraud, chargeback, payment failure, legal order, sanctions issue, tax or identity verification failure, rights dispute, regulatory restriction, platform abuse, or voluntary abandonment by the user.
20. Royalty Share Payouts
Eligible royalty share payouts, if any, are generally calculated monthly based on Albumolic's records.
Payouts may be made monthly, subject to:
Minimum payout thresholds
Payment processor timing
Banking delays
Tax documentation
Identity verification
Fraud checks
Chargebacks
Refunds
Legal holds
Rights disputes
Artist account status
Jurisdictional restrictions
Platform reserves
Administrative deductions
Payment processor requirements
Regulatory restrictions
Compliance review
Albumolic may maintain reserves for chargebacks, refunds, disputes, suspected fraud, rights claims, legal orders, regulatory inquiries, or payment processor requirements.
Albumolic's internal accounting records control unless a clear error is shown.
Albumolic may delay, withhold, offset, reverse, or suspend royalty share payouts where Albumolic determines that doing so is necessary or appropriate for legal, tax, fraud-prevention, payment, chargeback, rights, regulatory, sanctions, or platform-risk reasons.
21. Taxes
You are responsible for all taxes arising from your purchases, subscriptions, royalty share payouts, artist payouts, income, withholding obligations, sales taxes, VAT, GST/HST, reporting requirements, and other tax obligations.
Albumolic may request tax forms, legal names, addresses, government identification numbers, business information, or other documentation required to process payouts or comply with law.
Albumolic may withhold amounts where required by law, payment processor rules, or tax compliance requirements.
Failure to provide required tax or identity documentation may delay, suspend, or prevent payouts.

Albumolic may offer paid subscription features, including superfan subscriptions.
Superfan features may include:

Unless otherwise required by law, fees already paid for subscription periods are non-refundable.
23. Fan Data Shared With Artists
Albumolic is designed to help artists build direct fan economies.

Albumolic may suspend or terminate artist access to fan data if Albumolic believes the artist misused fan data, violated privacy law, violated Albumolic policy, or created risk to users or Albumolic.

You represent and warrant that you have all required rights to post your content and that your content does not violate any law or third-party rights.
You understand that deleting your content or closing your account may not immediately remove content from backups, cached systems, legal records, moderation logs, artist records, royalty records, or records retained for legitimate legal or operational purposes.
26. Artist Content, Rights, and Takedowns
Artists are solely responsible for ensuring that uploaded albums, songs, artwork, videos, metadata, lyrics, samples, interpolations, beats, vocals, features, producer contributions, publishing splits, master rights, artwork rights, name/image/likeness rights, and other materials are fully cleared.
Albumolic may remove or restrict content in response to copyright claims, rights disputes, legal demands, platform policy violations, artist disputes, suspected infringement, payment disputes, regulatory concerns, or legal risk.
Albumolic may implement content identification, DRM, watermarking, takedown systems, album identity controls, metadata monitoring, enforcement processes, and anti-piracy tools.
Artists agree to cooperate with Albumolic in responding to rights claims, takedowns, ownership disputes, enforcement actions, and royalty administration issues.
Artists agree to indemnify Albumolic for claims arising from artist-uploaded content, rights disputes, uncleared materials, inaccurate ownership claims, improper royalty splits, unauthorized uploads, or violations of these Terms.

28. Promotional Statements and Endorsements
Artists, users, affiliates, influencers, and promotional partners must not make false, misleading, deceptive, or unsubstantiated statements about Albumolic, artists, albums, royalty shares, payouts, resale, or financial outcomes.
Anyone promoting Albumolic, an artist, an album, or Album Royalty Shares must disclose any material connection, compensation, free benefit, referral benefit, ownership interest, or incentive where required by law or platform policy.
No person may state or imply that Album Royalty Shares are guaranteed, risk-free, profitable, liquid, endorsed by regulators, equivalent to stocks, or suitable for all users.
Albumolic may remove promotional content, suspend accounts, terminate artist features, or restrict royalty share features where promotional activity creates legal, regulatory, consumer-protection, or reputational risk.
29. Compliance and Regulatory Restrictions
Albumolic may restrict or disable access to certain features, including Album Royalty Shares, in certain jurisdictions or for certain users where Albumolic determines that legal, tax, payment, securities, consumer protection, privacy, sanctions, age, or regulatory requirements apply.
Albumolic may require legal review before enabling royalty share features in any jurisdiction.
Albumolic may suspend offerings, pause payouts, update terms, limit users, impose holding periods, impose resale limits, add verification requirements, or restructure features to comply with law or reduce regulatory risk.
Albumolic reserves the right to determine that certain users, artists, albums, territories, offerings, or transactions are not eligible for Album Royalty Share features.
30. Payment Processing
Payments may be processed by third-party payment processors, app stores, banking partners, payout providers, tax compliance providers, identity verification providers, or other service providers.
You agree to comply with all applicable third-party payment terms.
Albumolic is not responsible for payment delays, processor outages, app-store rules, banking delays, failed transactions, chargebacks, account holds, currency conversion issues, or third-party payment restrictions.
Albumolic may refuse, reverse, hold, or cancel transactions where Albumolic believes there is fraud, error, legal risk, rights risk, payment risk, chargeback exposure, tax risk, sanctions risk, platform abuse, or violation of these Terms.
31. Refunds, Chargebacks, and Reversals
All purchases are final unless otherwise required by law or stated in a specific refund policy.
Albumolic may issue refunds, credits, or reversals at its discretion or where required by law.
Refunds, chargebacks, fraud losses, payment failures, and reversals may reduce artist payouts and royalty share payouts.
Users who initiate improper chargebacks, payment abuse, fraud, or account manipulation may be suspended or terminated.
Albumolic may offset chargebacks, refunds, reversals, fees, or losses against future payouts.
32. Intellectual Property
Albumolic, including its software, design, trademarks, logos, workflows, user interface, platform architecture, album unlock systems, administrative systems, royalty share logic, content identification methods, payout systems, data structures, analytics tools, trade secrets, and platform documentation, is owned by Albumolic or its licensors.

Your use of Albumolic is subject to the Albumolic Privacy Policy.
By using Albumolic, you understand that certain personal information may be collected, used, disclosed, transferred, stored, analyzed, and shared as described in the Privacy Policy.

Albumolic may use third-party services, including payment processors, analytics providers, cloud hosting providers, identity verification providers, tax compliance providers, email providers, customer support tools, content delivery networks, app stores, fraud-prevention tools, marketing tools, rights enforcement tools, and security providers.
Albumolic is not responsible for third-party services, terms, policies, outages, fees, decisions, or actions.
Your use of third-party services may be subject to separate terms and privacy policies.
35. Platform Availability
Albumolic may be unavailable, interrupted, delayed, modified, suspended, or discontinued at any time.
Albumolic does not guarantee uninterrupted access, error-free operation, specific uptime, continued availability of any album, continued availability of any feature, or continued support for any device, operating system, region, payment method, or artist.
Albumolic may perform maintenance, updates, migrations, security reviews, fraud reviews, rights reviews, or compliance reviews without liability.
36. Account Suspension and Termination
Albumolic may suspend, restrict, or terminate your account at any time if Albumolic believes you violated these Terms, created legal risk, caused regulatory exposure, engaged in fraud, violated rights, misused data, abused users, manipulated the platform, failed verification, or created risk to Albumolic, artists, users, rights holders, payment processors, or the public.
Termination may result in loss of access to content, communities, subscriptions, artist tools, payout features, and other platform features.
Where legally required or operationally necessary, Albumolic may continue to maintain records after termination, including tax records, payout records, transaction records, royalty share records, legal records, fraud-prevention records, and compliance records.
37. Disclaimers
Albumolic is provided on an "as is" and "as available" basis.
Albumolic does not warrant that the platform will be uninterrupted, error-free, secure, profitable, legally available in every jurisdiction, compatible with every device, or free of harmful components.
Albumolic does not guarantee artist success, fan engagement, album revenue, royalty share payouts, tax outcomes, regulatory treatment, content availability, resale availability, liquidity, platform valuation, or financial results.
You use Albumolic at your own risk.

To the maximum extent permitted by law, Albumolic's total liability for any claim will not exceed the greater of:
The amount you paid directly to Albumolic in the three months before the claim arose; or
CAD $100.
Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.
